Article 1 - Purpose of Agreement
This agreement defines the terms of collaboration between THE AGENT and THE REFERRER within the framework of a client referral program for real estate transactions in Dubai.
THE REFERRER agrees to identify and present to THE AGENT potential clients (hereinafter "Leads") interested in buying, selling, or renting real estate properties.
Article 2 - Definitions
Qualified Lead: Contact of a person genuinely interested in a real estate transaction, with complete and accurate contact details, defined budget, and short/medium-term project (0-6 months).
Successful Transaction: Signing of a sale contract (Title Deed) or rental contract (Tenancy Contract) following a referred Lead.
Commission: Payment made to THE REFERRER upon a Successful Transaction.
Article 3 - Referrer's Obligations
THE REFERRER agrees to:
Refer only Qualified Leads with accurate information
Never present themselves as a real estate agent or representative of THE AGENT
Comply with RERA (Real Estate Regulatory Agency) regulations
Not engage in real estate brokerage activities without a license
Maintain confidentiality of information received
Guarantee the exclusivity of each Lead referred
Not directly contact property owners or developers
⚠️ IMPORTANT: THE REFERRER must NEVER present themselves as a real estate agent, negotiate prices, or sign documents on behalf of THE AGENT. Any violation may result in legal sanctions under RERA law.
Article 4 - Agent's Obligations
THE AGENT agrees to:
Provide professional follow-up of all referred Leads
Inform THE REFERRER of case progress via the platform
Calculate and pay Commissions according to defined terms
Maintain transparency regarding transactions
Provide secure access to the management platform
Article 5 - Commission Structure
Total commission on real estate transaction:
Agency: 50%
Agent: 50%
Distribution of Agent's share:
Referrer: 20% of Agent's share
Agent: 80% of Agent's share
Commission rates by transaction type:
Sales: 2% of sale price
Referrer Commission = 0.2% of sale price
Rentals: 5% of annual rent
Referrer Commission = 0.5% of annual rent
Concrete examples:
Villa sale at 5,000,000 AED → Referrer Commission: 10,000 AED
Apartment rental at 150,000 AED/year → Referrer Commission: 750 AED
Article 6 - Payment Terms
Payment timeline:
Sales: Within 45 days following Title Deed signing and receipt of funds by THE AGENT
Rentals: Within 14 days following Tenancy Contract signing and receipt of commission by THE AGENT
Payment method:
Bank transfer (details provided by THE REFERRER)
Or any other method agreed between parties
Payment conditions:
Commission is due only if the transaction is finalized
No Commission in case of transaction cancellation
THE REFERRER must provide complete banking details
Article 7 - Management Platform
THE AGENT provides THE REFERRER with a secure web platform allowing to:
Add new Leads
Track progress of each Lead in real-time
View Commission history
Access personal statistics
THE REFERRER agrees to maintain confidentiality of their login credentials.
Article 8 - Duration and Termination
Duration: This agreement is concluded for an indefinite period from the date of signature.
Termination:
Either party may terminate the agreement with 30 days notice by email
Immediate termination in case of serious breach of obligations
Leads referred before termination remain valid for Commission calculation
Article 9 - Confidentiality
THE REFERRER agrees to:
Not disclose confidential information received
Not use information for purposes other than this agreement
Not transfer platform access to third parties
This obligation remains valid after the end of the agreement.
Article 10 - Independence
THE REFERRER exercises their activity in complete independence. There is no subordination relationship between THE AGENT and THE REFERRER. THE REFERRER is not an employee of THE AGENT and acts independently.
Article 11 - Liability
THE REFERRER is solely responsible for:
The accuracy of information they communicate
Their declarations to tax authorities
Compliance with RERA legislation
THE AGENT cannot be held liable for THE REFERRER's actions toward clients or third parties.
Article 12 - Personal Data
Personal data collected is used solely for management of the referral program. THE REFERRER has the right to access, rectify, and delete their data in accordance with GDPR.
Article 13 - Applicable Law and Jurisdiction
This agreement is governed by the law of the United Arab Emirates. Any dispute shall be submitted to the exclusive jurisdiction of the courts of Dubai.

I declare that I have read and understood this entire agreement. I confirm that:

✓ I will respect all obligations stated above
✓ I accept the commission calculation and payment terms
